Terms and Conditions for Consulting, Advisory Services, and Educational Offerings

Welcome to Innovation Scaleup Advisors Private Limited (“ISA”). These Terms and Conditions (“T & Cs”) govern the provision of our consulting, advisory (the “Services”) as well as our educational offerings (the “Educational Offerings”) to you (the “Client”). Additional offerings as maybe agreed to from time to time shall also be governed by these T & Cs.  By engaging our Services or participating in our Educational Offerings, you agree to comply with and be bound by these T & Cs. If you do not agree with any part of these T & Cs, please do not engage our Services or participate in our Educational Offerings.

These Terms are an electronic record in terms of the (Indian) Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time (“IT Act”). This electronic record is generated by a computer system and does not require any physical or digital signatures. These Terms are published in accordance with the provisions of Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 framed under the IT Act (as amended from time to time), that require publishing the terms of services and practices for access or usage of Platform and Services. These Terms constitute a binding and legally enforceable contract between the Company and User (as defined below). By registering on or using the Platform or availing the Services, you agree to be bound by the Terms. If you are using the Platform on behalf of an organization, you are agreeing to the Terms on behalf of that organization (in which event, “you”, “your” or “User” will refer to that organization).


1.     Introduction

ISA is a business consulting and advisory firm headquartered in India, providing services globally. Our Services include problem-solving engagements (Consulting) and proactive, long-term engagements aimed at enhancing your business capabilities (Advisory). Additionally, we offer a range of Educational Offerings designed to support entrepreneurship and business management.


2.     Scope of Services

– Consulting Services: Our consulting engagements are designed to address specific business challenges faced by the Client. We will work collaboratively with the Client to identify problems, analyze data, and provide actionable recommendations.

– Advisory Services: Our advisory engagements focus on long-term strategies to help the Client scale their capabilities and improve business outcomes. This may include ongoing assessments, strategic planning, and implementation support.

– Educational Offerings: We provide various educational resources, including:

  – Workshops: Interactive sessions on specific topics related to entrepreneurship and business management.

– Webinars: Online seminars that cover relevant industry trends and best practices.

– Certificate Courses: Structured programs aimed at enhancing knowledge and skills in entrepreneurship and business management. Certificate Courses maybe offered in collaboration with third parties and will be additionally governed by the terms and conditions of such third parties. You, the Client are requested to review and agree to such other terms and conditions as well before proceeding to avail such Certificate Courses.

If ISA and Client enter into a Statement of Work (“SOW”) detailing out the scope of engagement, then the SOW shall be read with these T & Cs and the T & Cs shall be incorporated by reference into the SOW. In case of conflict between these T & Cs and an individual SOW, the SOW shall prevail to the extent of conflict.  


3.     Engagement Process

  1. Proposal for Consulting/Advisory Services: Upon request, we will provide a detailed proposal outlining the scope of work, objectives, deliverables, timelines, and fees associated with the engagement. Once the terms are agreed to, ISA and the Client will mutually agree to an SOW which along with these T & Cs shall form the Agreement.
  2. Enrollment for Educational Offerings: Clients interested in participating in our Educational Offerings can register through our website or other designated platforms. Enrollment details and additional terms applicable to the Educational Offerings will be provided for each specific offering.
  3. Agreement: Engagements will commence upon acceptance of the proposal for consulting/advisory services or confirmation of enrollment for educational offerings as well as agreeing to applicable third party terms in the event the educational offerings are provided in collaboration with a third party.


4.     Client Responsibilities

The Client agrees to:

  • Provide timely access to all necessary information, personnel, and resources required for us to deliver our Services effectively.
  • Ensure that all information provided is accurate and complete.
  • Designate a primary point of contact for communication throughout the engagement or course participation in the event the Client is a company or other form of juristic person.

5.     Fees and Payment Terms

  1. Fees for our Services will be outlined in the proposal and agreed upon in the formal engagement agreement or SOW.
  2. Fees for Educational Offerings will be specified during the registration process.
  3. Payment terms will be specified in the agreement or registration confirmation, including any upfront fees, milestone payments, or retainer arrangements.
  4. Late payments may incur interest charges as specified in the SOW or applicable terms depending on the nature of Service or engagement.


6.     Confidentiality

  1. Both parties agree to maintain confidentiality regarding any proprietary or sensitive information exchanged during the engagement or participation in Educational Offerings. This obligation will survive the termination of the engagement or completion of courses. The Client shall also be liable for any breach in connection with confidential information of ISA that it may get access to and in the event of a breach or threatened breach, ISA will be entitled to seek injunctive as well as equitable relief as available under law in addition to damages for breach as per applicable law.
  2. The confidentiality obligations shall also be governed by the Privacy Policy of ISA as contained in https://innovationscaleup.com


7.     Intellectual Property Rights

  1. Any materials or deliverables created by ISA during the engagement shall remain the exclusive property of ISA unless otherwise agreed upon in writing under an SOW. The Client is granted a limited license to use such materials for their intended personal use of the Client as outlined in the engagement agreement/ SOW or terms applicable to the educational offerings.


8.     Limitation of Liability

  1. To the fullest extent permitted by applicable law, ISA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profit or loss of revenue arising out of or related to the Services provided or participation in Educational Offerings. Notwithstanding anything contained in these T & Cs, ISA’s total liability shall not in any event exceed the fees paid by the Client for the specific Services or Educational Offerings giving rise to such liability in the 6 (six) months preceding the date of the claim.

  1. ALL SERVICES ARE PROVIDED BY ISA ON AN AS IS BASIS ONLY AND ISA MAKES NO IMPLIED WARRANTIES AS REGARDS THE SUITABILITY OR FITNESS FOR PURPOSE OF THE CLIENT AND THE CLIENT AGREES THAT IT HAS ENGAGED ISA AFTER AN ASSESSMENT OF THE ABILITIES OF ISA. THE CLIENT ALSO UNDERSTANDS THAT THE OUTCOMES OF THE SERVICES MAY VARY FOR DIFFERENT CLIENTS AND ISA DOES NOT PROVIDE ANY GUARANTEES AS REGARDS INCREASE IN REVENUE OR PROFITS FOR THE CLIENT AS A RESULT OF AVAILING THE SERVICES.


10.  Termination

Either party may terminate the engagement with written notice if there is a material breach of these Terms that remains uncured after a reasonable period. Upon termination, all outstanding fees for services rendered up to that point shall be due and payable.


11.  Governing Law

  1. These T & Cs shall be governed by and construed in accordance with the laws of India without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in [Bengaluru, Karnataka, India.


12.  Amendments

  1. We reserve the right to amend these Terms at any time. Any changes will take effect upon notification to you via an email to your registered email address or through our website.
